1. Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of CSAPay's payment infrastructure, APIs, dashboards, and related services (collectively, the "Services"). By registering for, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.
These Terms form a legally binding agreement between you ("Merchant", "User", or "you") and CSA Smart Pay Technologies Pvt Ltd ("CSAPay", "we", "us", or "our").
2. Eligibility
To use CSAPay Services, you must:
- Be at least 18 years of age and legally capable of entering into binding contracts under Indian law
- Be a registered business entity, sole proprietor, or authorized representative of a business operating in India
- Provide accurate, current, and complete information during registration and keep it updated
- Comply with all applicable laws, regulations, and RBI guidelines for payment systems
3. Account Registration & Security
3.1 Registration
You agree to complete the KYC (Know Your Customer) process as required by RBI guidelines. This may include submission of PAN, GSTIN, business registration documents, and bank account verification.
3.2 Account Credentials
You are responsible for maintaining the confidentiality of your API keys, passwords, and authentication tokens. All activities under your account are your responsibility. Notify us immediately at security@csapay.in of any unauthorized use.
3.3 API Access
API keys are issued for your exclusive use. Do not share, expose, or embed them in client-side code. Rotate keys periodically and revoke compromised keys immediately via your dashboard.
4. Payment Services
4.1 Service Description
CSAPay provides UPI-based payment collection infrastructure including:
- Dynamic and static UPI QR code generation
- Payment link creation and sharing
- API-based checkout integration for web and mobile apps
- Webhook notifications for payment status updates
- Transaction reporting and settlement tracking
4.2 Transaction Processing
Payments are processed through NPCI-approved UPI infrastructure. CSAPay acts as a technology facilitator and does not hold customer funds. Settlement occurs directly to your linked bank account as per RBI T+1 guidelines.
4.3 Transaction Limits
Transaction limits are subject to NPCI guidelines, your bank's policies, and risk-based thresholds set by CSAPay. We reserve the right to adjust limits based on transaction patterns and risk assessment.
5. Fees, Pricing & Settlement
5.1 Fee Structure
CSAPay charges a transaction fee as disclosed during onboarding or in your dashboard. Fees may be:
- Percentage-based (e.g., X% per successful transaction)
- Fixed amount per transaction
- Volume-tiered or custom enterprise pricing
All fees are exclusive of GST. Current pricing is available in your dashboard or by contacting sales@csapay.in.
5.2 Settlement Timeline
Successful UPI transactions are settled to your linked bank account within T+1 working days, subject to bank processing times and RBI guidelines. Settlement reports are available in your dashboard.
5.3 Refunds & Chargebacks
Refunds must be initiated by you via API or dashboard. Refunded amounts and associated fees are handled as per Section 5.4 of our Refund Policy. Disputed transactions follow NPCI and bank chargeback procedures.
6. Security & Compliance Obligations
You agree to:
- Implement secure storage and transmission of payment data
- Use HTTPS for all API communications and webhook endpoints
- Validate webhook signatures to prevent spoofing
- Comply with PCI-DSS guidelines where applicable
- Not store sensitive UPI credentials (VPAs, MPINs) on your systems
- Report security incidents to security@csapay.in within 24 hours
CSAPay employs encryption, access controls, and monitoring to protect infrastructure. However, you are responsible for securing your integration, credentials, and customer data.
7. Prohibited Activities
You shall not use CSAPay Services for:
- Illegal goods, services, or activities under Indian law
- Money laundering, terrorist financing, or sanctioned entities
- Adult content, gambling, or unlicensed financial services
- Pyramid schemes, fake donations, or fraudulent fundraising
- Testing APIs with fake transactions or automated abuse
- Reverse engineering, scraping, or unauthorized access to our systems
Violation may result in immediate account suspension, fund holds, and legal action.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- CSAPay provides Services "AS IS" without warranties of uninterrupted or error-free operation
- We are not liable for indirect, incidental, or consequential damages
- Our total liability shall not exceed the fees paid by you in the 3 months preceding the claim
- We are not responsible for NPCI downtime, bank failures, or force majeure events
This section does not exclude liability for fraud, gross negligence, or matters that cannot be excluded under Indian law.
9. Termination
9.1 By You
You may close your account anytime via dashboard or by emailing support@csapay.in. Pending settlements will be processed per Section 5.2.
9.2 By CSAPay
We may suspend or terminate your access immediately if you: (a) breach these Terms, (b) engage in fraudulent activity, (c) violate applicable laws, or (d) pose a risk to our systems or other users.
9.3 Effect of Termination
Upon termination: (a) your API access ceases, (b) pending transactions complete per normal settlement, (c) you remain liable for fees incurred prior to termination.
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in [Your City], India. Prior to litigation, parties agree to attempt resolution through good-faith negotiation.
11. Changes to These Terms
We may update these Terms periodically. Material changes will be notified via email or dashboard notice at least 15 days before effectiveness. Continued use after changes constitutes acceptance. Review the "Last updated" date at the top of this page.
